Real Player is perfectly legit, though not connected with Micro$oft as far as I know. It's used for playing Real Media sound and video files.
I believe people have had bad experiences with the latest version, called Real One or something. I stick with the slightly older Real Player 8 for those odd occasions when I need it.
Real Player can be a real pain. Try opening it when Windows Media Player's open and it will crash. If you let it, it will plaster itself all over your computer and be forever checking for updates. Not sure about actual spyware, but I've never trusted it.
It does have it's uses though. Just make sure all the preset options they want you to leave untouched are disabled so that it can only do what you want it to do, which is to play Real Media files, and you shouldn't have too many problems.
