The computer is an Acer SA60 with 1.2GB of ram and 80GB Hard dirve and the OS is XP Home Edition - if I knew then what I know now Id have opted for XP Professional but thats another story.
I know I can convert the FAT 32 to the more stable NTFS on the Comp but I am afraid of losing stuff etc...
SO I would like to know if there would be any problems by converting the external HD to NTFS with my desktop still running on FAT32?

No problem at all.
The best solution is to set up the external drive as NTFS then copy (backup) your personal documents currently stored on the C drive to the external drive.
When you’re satisfied that you have copied them all, convert the C drive to NTFS.
