System always boothing into BIOS

Hi ,
My mother board is AMIBIOS(C)1996 ZX98-ATVER1.09(991216)
running PIII 500 Mhz.
I have 64+64 MB SDRAM installed on 2 slots.

Rescently My system crashed and so I re-installed Windows Xp. It worked fine for a few instances and again stopped booting into Windows.
Later I realised my BIOS settings were not being saved. So I thot it was a battery issue and changed the mother board battery.

Now I amd faced with 2 issues. Every time my system boots ..It keeps going into the BIOS screen. If I try to load default settings it again keeps coming back into BIOS.I am unable to set the time and Date either as it keeps resetting itself.
If I remove the CMOS battery , It gives me the option to load the default settings and it starts to boot..but hangs at the windows start screen....

Is there any safe approach I can take other than a flash Upgrade ?
Any suggestions are welcome...
